1 2 5 6 7 8 9 lO ll 12 ~3 14 15 16 17 18 ~9 20 21 22 23 2~ 25 26 27 RESOLUTION NO. 16371 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF RIVERSIDE, CALIFORNIA, AUTHORIZING EXECUTION OF THE SECOND ~4ENDED SAN ONOFRE OPERATING AGREEMENT AND THE SAN ONOFRE REFUELING EXCHANGE AGREEMENT. WHEREAS the City of Riverside acquired a percentage ownership interest in the San Onofre Nuclear Generating Station ("SONGS") Units 2 and 3 and the Common Facilities, pursuant to the San Onofre Units 2 and 3 Participation Agreement ("Participation Agreement"), among Southern California Edison Company ("Edison"), San Diego Gas and Electric Company ("SDG&E"), the City of Anaheim and the City of Riverside; and WHEREAS under the Participation Agreement, the parties agreed to negotiate in good faith and execute an operating agreement covering the operation and maintenance of SONGS Units 1, 2 and 3; and WHEREAS in the interim, until the operating agreement was negotiated, the parties agreed, pursuant to the Interim San Onofre Operating Agreement, to operate and maintain SONGS Units 1, 2 and 3 in a manner consistent with the Participation Agreement and the Unit 1 Operating Agreement between Edison and SDG&E; and WHEREAS the parties to the Participation Agreement have now negotiated the Second Amended San Onofre Operating Agreement and the San Onofre Refueling Exchange Agreement (collectively the "Agreements") which together provide for the operation and maintenance of SONGS Units 1, 2 and 3, and the City Council of the City of Riverside, having reviewed the Agreements, desires CITY ATTORNEY RIVERSIDE CALl FO RNI A
