THIRD AMENDMENT TO AGREEMENT <br />FOR PROPERTY MANAGEMENT SERVICES <br />(CALIFORNIA TOWER, SUITE 800 /GROUND FLOOR RETAIL) <br />This Third Amendment to Agreement is made and entered into this day of <br />November 2002, by and between the Redevelopment Agency for the City of Riverside, a public <br />entity, hereinafter referred to as "Agency," and Inland Pacific Advisors, Inc., 5225 <br />Canyon Crest Drive, Suite 360, Riverside, California 92507, hereinafter referred to as <br />"Agent." <br />RECITALS <br />A. The parties hereto entered into an Agreement for Property Management Services <br />(California Tower, Suite 800 /Ground Floor Retail) dated the 12` day of August 1998, <br />( "Agreement ") and an Amendment to Agreement dated the 8` day of September 1998 <br />and a Second Amendment dated the 24` day of July 2001 wherein Agent agreed to <br />provide Property Management Services to the California Tower premises located at 3737 <br />Main Street, Riverside, California, 92501, <br />B. The parties hereto desire to amend and extend said Agreement at the existing rates <br />and as hereinafter provided. <br />NOW THEREFORE, in consideration of the Agreements herein contained, the <br />parties hereto agree to as follows: <br />1. The term of the Agreement shall be extended for the period of one year <br />commencing the l day of July, 2002 through the 30 day of June 2003; <br />2. The monthly management fee shall remain unchanged for the term of the <br />Agreement; <br />3. Section 9 of the Agreement, entitled " Indemnification ", is amended to add <br />thereto the following two (2) paragraphs: <br />"Agency shall, at Agency's sole cost and expense, indemnify, defend, and <br />hold harmless Agent, its officers, shareholders, directors, agents, and employees <br />and their respective heirs, personal representatives, successors and assigns <br />(collectively, the "Indemnified Parties ") from any lawsuit, loss, liability, cost, <br />damage, claim, attorney's fees or other expense (collectively, "Claims ") arising in <br />whole or in part out of: (i) leases between Agency and tenant's of the Project; (ii) <br />any accident or occurrence causing damage, injury of death to any person or <br />MJS/ I /LDB / 10020 / 003 / does /Third.Amend.Prop.Manage.Agmt.
