RELEASE OF LIABILITY & WAIVER OF CLAIMS
<br />FOR ACCEPTANCE OF DONATION OF MEDICAL SUPPLIES
<br />Coupang Global LLC herein after referred to as "Donor", recognizes that the shortage of certain medical supplies during the
<br />current COVID-19 pandemic undermines the ability of healthcare organizations and other service providers to provide valuable
<br />and necessary services to the public. Donor has further become aware that certain manufacturers have the ability and capacity to
<br />manufacture and provide such medical supplies and Donor desires to utilize its relationships to obtain and donate needed medical
<br />supplies.
<br />The undersigned Donee ("Donee") of Medical Supplies has requested to accept donations of Medical Supplies and Donor has
<br />agreed to provide such Medical Supplies subject to and conditioned upon this Release of Liability and Waiver of Claims
<br />The Parties acknowledge that Donor is not normally a distributor of medical supplies and does not have capacity to independently
<br />verify the specifications and certifications of medical supplies beyond providing samples, specifications and certifications as
<br />provided by the manufacturers. Accordingly, in the interest of disclosure and transparency, Donor requires that any Donee
<br />recipient of the Medical Supplies acknowledge the unique circumstances of such donation or purchase, assume the risks of use
<br />of such Medical Supplies, release all liability of Donor, and waive any claims against Donor in connection with the acceptance
<br />of the donation or purchase and use of the Medical Supplies.
<br />"Medical Supplies" shall be defined as Giko N95 masks. The specifications of these Medical Supplies are as follows (the
<br />"Product Specifications"):

<br />Donee understands that Donor could not provide the Medical Supplies without obtaining the release of claims and liabilities set
<br />forth herein. Donee acknowledges that Donor has provided product samples, information, specifications and certifications as
<br />provided by the manufacturer(s) of the Medical Supplies; however, Donee understands that the Medical Supplies are
<br />provided "as is" and that Donor makes no representations, warranties, promises or guarantees regarding the Medical
<br />Supplies or the Product Specifications and hereby disclaims the same, including without limitation any warranties of
<br />merchantability, noninfringement, or fitness for a particular purpose. Donee acknowledges that Donor has not inspected or
<br />tested the Medical Supplies and that Donee is responsible for all inspections and testing that Donee requires prior to use of the
<br />Medical Supplies. Donee agrees that Donor's sole obligation to Donee is to provide the Medical Supplies in the quantities
<br />ordered, and in all other respects Donee agree to take full and sole responsibility to inspect, test, and use the Medical Supplies as
<br />necessary or desirable. Accordingly, Donee agrees to indemnify, hold harmless, and defend Donor and its officers, directors,
<br />employees, agents, successors, and permitted assigns against any and all losses, arising out of or resulting from any claim of a
<br />Third -Party alleging or relating to any alleged injury to the Third -Party while the Third -Party was using the Medical Supplies.
<br />A "Third -Party" shall be defined as a third -party or a third -party's designee or representative.
<br />In partial consideration for, and as a condition precedent of, Donor's agreement to donate the Medical Supplies to Donee, Donee
<br />hereby:
<br />1. Assumes all risks in connection with the donation, acceptance and use of the Medical Supplies, including without
<br />limitation confirming that the specifications of the Medical Supplies are sufficient for Donee's purposes and that the Medical
<br />Supplies comply with such specifications and are not defective.
<br />2. Fully and voluntarily releases, discharges, and holds harmless Donor, its employees, officers, managers, members,
<br />contractors and agents (collectively, the "Released Parties") from any and all claims, causes of action, damages, losses, liabilities
<br />and demands (collectively, "Claims") arising out of or resulting from or related in any way to the donation, acceptance, or use
<br />of the Medical Supplies, or the matters for which Donee has agreed to be responsible as described in this Release of Liability
<br />and Waiver of Claims.
