W A I E R E N E R G Y I I � � RIVERSIDE PUBLIC UTILITIES W& P U B L I C U T I L I T I E 5 Board Memorandum BOARD OF PUBLIC UTILITIES DATE: DECEMBER 9,2019 ITEM NO: 12 SUBJECT: SHAREHOLDER PROXY AUTHORITY FOR MUTUAL WATER COMPANIES ISSUE: Approve and recommend that the City Council confirm the voting representatives and alternates outlined in the report and delegate authority to any designated representative or alternate to vote the City's shares as the City's proxy at all meetings of the respective mutual water companies from the date of this action until amended. RECOMMENDATION: That the Board of Public Utilities approve and recommend that the City Council: 1. Confirm the voting representatives and alternates outlined in the report and delegate authority to any designated representative or alternate to vote the City's shares as the City's proxy at all meetings of the respective mutual water companies from the date of this action until amended; and 2. Confirm that the City's transfer of a share of stock to the individuals identified in in the "Annual Stockholders Meetings 2020" attachment was transferred solely to qualify that individual to serve and hold office on the board of directors for such water company, that each individual that was transferred a share of stock agrees that the designated representative or alternate as referenced above may vote those transferred share as the proxy and that the transfer of said share may be canceled by action of the City Council at any time. DISCUSSION: Submitted for the Board of Public Utilities' consideration and recommendation to the City Council is the affirmation of the following City voting representation and alternates for Shareholders Meetings of the mutual water companies in which the City owns stock and delegation of authority to these individuals to vote the City's shares as the City's proxy at all meetings of the respective mutual water companies: MUTUAL WATER COMPANY Gage Canal Company Jurupa Ditch Water Company Riverside Highland Water Co. Trujillo Water Company Meeks & Daley Water Company VOTING REPRESENTATIVE Todd Corbin Michael Plinski Michael Plinski Jo Lynne Russo-Pereya Michael Plinski ALTERNATE Todd Jorgenson David Garcia Oscar Khoury Elizabeth Sanchez-Monville David Garcia The proxy authority would extend to matters that routinely come before the shareholders for consideration consistent with each company's articles of incorporation and bylaws, as well as voting for representation on the boards of directors for each company. Attached is a list of Annual Shareholder meeting dates and number of shares owned by the City in the various companies.
