PROFESSIONAL SERVICES AGREEMENT <br /> The Converse Professional Group <br /> <br /> THIS AGREEMENT is made and entered into this 27th day of <br />February, 2003 , ("Effective Date") by and between the CITY OF RIVERSIDE ("City"), <br />a municipal corporation, and THE CONVERSE PROFESSIONAL GROUP, a California <br />corporation, also known as CONVERSE CONSULTANTS ("Contractor"). <br /> <br /> 1. Scope of Services: City agrees to retain and does hereby retain Contractor and Contractor <br />agrees to provide the services more particularly described in Exhibit "A", "Scope of Services" <br />("Services"), attached hereto and incorporated herein by reference, in conjunction with conducting <br />an Environmental Phase I Assessment (ESA), Limited Asbestos Survey, and Limited Lead-Based <br />Paint Survey for the Airway Runway Protection Zone Project and Runway Expansion Project <br />("Project"). <br /> <br /> 2. Term: This Agreement shall commence on the Effective Date and the Agreement shall <br />remain in force and effect during perfo,mance of the Services. Performance of the Services shall <br />begin no later than four (4) weeks from date of written notice to proceed, unless the time for <br />performance is extended in whting by mutual consent of the parties. Contractor agrees that <br />notwithstanding the termination of this Agreement, Contractor shall be available to testify in <br />depositions or as an expert witness in any case in which such Services would, in the City's <br />discretion, be required. Any report that is generated pursuant to the Services, shall be addressed to <br />the City Attorney at the address set forth in Section 4 hereof. <br /> <br /> 3. Compensation/Payment: Contractor shall perform the Services under this Agreement <br />for a total fee not to exceed Sixteen Thousand Two Hundred and Eighty-six ($16,286.00) as set forth <br />in Exhibit "B" attached hereto and incorporated herein by reference. Said payment shall be made <br />in accordance with City's usual accounting procedures upon receipt and approval of an itemized <br />invoice setting forth the services perfom,ed. The invoices shall be in triplicate and shall be delivered <br />to City at the address set forth in Section 4 hereof. <br /> <br /> 4. Notices: Any notices required to be given hereunder shall be in writing and shall be <br />personally served or given by mail.
