PROFESSIONAL SERVICES AGREEMENT The Converse Professional Group THIS AGREEMENT is made and entered into this 27th day of February, 2003 , ("Effective Date") by and between the CITY OF RIVERSIDE ("City"), a municipal corporation, and THE CONVERSE PROFESSIONAL GROUP, a California corporation, also known as CONVERSE CONSULTANTS ("Contractor"). 1. Scope of Services: City agrees to retain and does hereby retain Contractor and Contractor agrees to provide the services more particularly described in Exhibit "A", "Scope of Services" ("Services"), attached hereto and incorporated herein by reference, in conjunction with conducting an Environmental Phase I Assessment (ESA), Limited Asbestos Survey, and Limited Lead-Based Paint Survey for the Airway Runway Protection Zone Project and Runway Expansion Project ("Project"). 2. Term: This Agreement shall commence on the Effective Date and the Agreement shall remain in force and effect during perfo,mance of the Services. Performance of the Services shall begin no later than four (4) weeks from date of written notice to proceed, unless the time for performance is extended in whting by mutual consent of the parties. Contractor agrees that notwithstanding the termination of this Agreement, Contractor shall be available to testify in depositions or as an expert witness in any case in which such Services would, in the City's discretion, be required. Any report that is generated pursuant to the Services, shall be addressed to the City Attorney at the address set forth in Section 4 hereof. 3. Compensation/Payment: Contractor shall perform the Services under this Agreement for a total fee not to exceed Sixteen Thousand Two Hundred and Eighty-six ($16,286.00) as set forth in Exhibit "B" attached hereto and incorporated herein by reference. Said payment shall be made in accordance with City's usual accounting procedures upon receipt and approval of an itemized invoice setting forth the services perfom,ed. The invoices shall be in triplicate and shall be delivered to City at the address set forth in Section 4 hereof. 4. Notices: Any notices required to be given hereunder shall be in writing and shall be personally served or given by mail.
