AGREEMENT FOR PROFESSIONAL CONSULTANT SERVICES JACKSON & ASSOCIATES Relocation Services THIS AGREEMENT is made and entered into this 3rdday of December, 2002, "Effective Date") by and between the CITY OF RIVERSIDE, a municipal corporation, hereinafter referred to as "City," and JACKSON & ASSOCIATES, hereinafter referred to as "Consultant", with respect to the following facts: RECITALS: WHEREAS, City requires the services of a consultant that is experienced in relocation services; and WHEREAS, Consultant has the necessary experience in providing professional consulting services and advice on various issues relating to determining benefits for relocation; and WHEREAS, selection of Consultant is expected to achieve the desired results in an expedited fashion; and WHEREAS, Consultant has submitted a proposal to City and has affirmed its willingness and ability to perform such work; NOW, THEREFORE, City and Consultant agree as follows: 1. Retention of Consultant. City retains Consultant to perform, and Consultant agrees to render, those services (hereinafter"Services") defined as Scope of Services in Exhibit "A," attached hereto and incorporated herein by this reference in accordance with the terms and conditions set forth herein. Consultant's Services shall be performed in connection with the Palmyrita Water Treatment Plant-Oxford Street Relocation ("Project") on those specific parcels of property set forth in Exhibit "B" attached hereto and incorporated herein by reference. 2. Standard of Performance. While performing the Services, Consultant shall exercise the reasonable professional care and skill customarily exercised by reputable members of Consultant's profession practicing in the Metropolitan Southern California Area, and shall use reasonable diligence and best judgment while exercising its professional skill and expertise. 3. Term. This Agreement shall commence on the Effective Date and the Agreement shall remain in force and effect during performance of the Services. Performance of the Services shall be completed no later than twelve (12) weeks from the date of written notice to proceed, unless the time for performance is extended in writing by mutual consent of the parties. 4. Personnel. Consultant shall furnish all personnel necessary to perform the Services and shall be responsible for their performance and compensation. Consultant recognizes that the qualifications and experience of the personnel to be used are vital to professional and timely completion of the Services. The keypersonnel listed in Exhibit"C" attached hereto and incorporated herein by this reference and assigned to perform portions of the Services shall remain assigned through completion of the Services, unless otherwise mutually agreed by the parties in writing, or caused by hardship or resignation in which case substitutes shall be subject to City approval.
