AGREEMENT FOR PROFESSIONAL CONSULTANT SERVICES <br />JACKSON & ASSOCIATES <br /> <br /> Relocation Services <br /> <br /> THIS AGREEMENT is made and entered into this 3rdday of December, 2002, <br />"Effective Date") by and between the CITY OF RIVERSIDE, a municipal corporation, hereinafter <br />referred to as "City," and JACKSON & ASSOCIATES, hereinafter referred to as "Consultant", with <br />respect to the following facts: <br /> <br />RECITALS: <br /> <br /> WHEREAS, City requires the services of a consultant that is experienced in <br />relocation services; and <br /> <br /> WHEREAS, Consultant has the necessary experience in providing professional <br />consulting services and advice on various issues relating to determining benefits for relocation; and <br /> <br /> WHEREAS, selection of Consultant is expected to achieve the desired results in an <br />expedited fashion; and <br /> <br /> WHEREAS, Consultant has submitted a proposal to City and has affirmed its <br />willingness and ability to perform such work; <br /> <br />NOW, THEREFORE, City and Consultant agree as follows: <br /> <br /> 1. Retention of Consultant. City retains Consultant to perform, and Consultant <br />agrees to render, those services (hereinafter"Services") defined as Scope of Services in Exhibit "A," <br />attached hereto and incorporated herein by this reference in accordance with the terms and conditions <br />set forth herein. Consultant's Services shall be performed in connection with the Palmyrita Water <br />Treatment Plant-Oxford Street Relocation ("Project") on those specific parcels of property set forth <br />in Exhibit "B" attached hereto and incorporated herein by reference. <br /> <br /> 2. Standard of Performance. While performing the Services, Consultant shall <br />exercise the reasonable professional care and skill customarily exercised by reputable members of <br />Consultant's profession practicing in the Metropolitan Southern California Area, and shall use <br />reasonable diligence and best judgment while exercising its professional skill and expertise. <br /> <br /> 3. Term. This Agreement shall commence on the Effective Date and the Agreement <br />shall remain in force and effect during performance of the Services. Performance of the Services <br />shall be completed no later than twelve (12) weeks from the date of written notice to proceed, unless <br />the time for performance is extended in writing by mutual consent of the parties. <br /> <br /> 4. Personnel. Consultant shall furnish all personnel necessary to perform the <br />Services and shall be responsible for their performance and compensation. Consultant recognizes <br />that the qualifications and experience of the personnel to be used are vital to professional and timely <br />completion of the Services. The keypersonnel listed in Exhibit"C" attached hereto and incorporated <br />herein by this reference and assigned to perform portions of the Services shall remain assigned <br />through completion of the Services, unless otherwise mutually agreed by the parties in writing, or <br />caused by hardship or resignation in which case substitutes shall be subject to City approval. <br /> <br /> <br />
