PROFESSIONAL CONSULTANT SERVICES AGREEMENT (LOW RISK) ABERDEEN CAPTIONING, INC. (Live Remote Closed- Captioning for Weekly City Council Meetings. RFP 1473) THIS PROFESSIONAL CONSULTANT SERVICES AGREEMENT ("Agreement") is made and entered into this 6th day of February , 20 15 ('Effective Date"), by and between the CITY OF RIVERSIDE ("City" ), a California charter city and municipal corporation and ABERDEEN CAPTIONING, INC., a California corporation ("Consultant'). 1. Scope of Services. City agrees to retain and does hereby retain Consultant and Consultant agrees to provide the services more particularly described in Exhibit "A," "Scope of Services' ("Services"), attached hereto and incorporated herein by reference, in conjunction with providing Live Remote Closed captioning for the weekly City Council meetings ("Project"). 2. Term. This Agreement shall be effective on the date first written above and shall remain in effect until December 31, 2017, unless otherwise terminated pursuant to the provisions herein. If not in breach of any other provision of this Agreement, and upon mutual written consent. the term of the Agreement may be extended for two (2) additional one-year periods. 3. Compensation/Payment. Consultant shall perform the Services under this Agreement at an hourly rate of eighty nine dollars and ninety eight cents ($89.98) per hour payable in accordance with the terms set forth in Exhibit "B." Said payment shall he made in accordance with City's usual accounting procedures upon receipt and approval ofan itemized invoice setting forth the services performed. The invoices shall be delivered to City at the address set forth in Section 4 hereof. 4, Notices. Any notices required to be given, hereunder shall be in writing and shall be personally served or given by mail.
