<br />SUBORDINATION AGREEMENT
<br />
<br />This subordination agreement (the "Agreement") is made this 9th day of May, 2002 by and between Angel
<br />Rodriguez a married man as his sole and separate property and Jorge Maganaa married man as his sole and
<br />separate property ("Property Owner"), and U.S. Bank, National Association, fka First Trust National
<br />Association, as Trustee pursuant to that certain Pooling and Servicing Agreement dated July 31, 1994 entered
<br />into among TMI Acceptance Corp., as Contractholder and Depositor, Empire Funding Corp., as Originator,
<br />TMI Financial, Inc., as Servicer, First Trust National Association, as Claims Administrator and Trustee, and
<br />Chemical Bank, as Master Servicer, with respect to TMI FHA Title I Home Improvement Loan Pass-Through
<br />Certificates, Series 1994-2 ("Beneficiary"), with reference to the following facts:

<br />
<br />A. That Whereas, Property Owner has executed a Deed of Trust dated June 9, 1994 to Directors Mortgage
<br />Loan Corporation, A California Company, as Trustee, covering real property ("Property") described in the
<br />attached Exhibit A attached hereto to secure a Note in the sum of $15,000.00, dated June 9, 1994, in favor
<br />of Directors Mortgage Loan Corporation, A California Company, which Deed of Trust was recorded June
<br />21 st 1994 as Instrument No. 252132 of Official Records of Riverside County

<br />B. Property Owner has executed a grant ofeasement ( Easement )dated ,; t,',v'Wa;?' , andrecordmg
<br />concurrently herewith in the Official Records of Riverside County, California, tn favor of the City of
<br />Riverside, California, a municipal corporation, in connection with the Property. A copy of the Easement is
<br />attached hereto as Exhibit B.

<br />C. The Easement must be unconditionally and remain at all times a charge upon the Property, prior and
<br />superior to any liens or deed of trust recorded prior to the Easement. It is to the mutual benefit of the parties
<br />hereto that the Easement be prior to and superior to any liens or deed of trust recorded prior to the Easement.
