SUBORDINATION AGREEMENT This Subordination Agreement (hereinafter referred to as "Agreement") is made this 7th day of February , 2002, by and between DABNEY PROPERTIES, LLC, a California limited liability company, hereinafter described and rcfcrrcd to as "Property Owner", and CALIFORNIA MEDICAL PROPERTIES, a Texas general partnership, present owner and holder of the deed or trust and note hereinafter described, and hereinafter referred to as "Beneficiary". RECITALS A. Property Owner is the owner in fee of the real property located in the City of Riverside, County of Riverside, State of California, (hereinafter referred to as "Property") legally described as follows: See Attached Exhibit "A" B. Property Owner has executed a Covenant and Agreement and Declaration of Restrictions on Future Uses ofthe Property (hereinafter referred to as "Covenant") datedFebruary 7 ,2002, in favor of the City of Riverside, California, a municipal corporation, in connection with thc Property, which document is being recorded concurrently herewith in the Official Records of Riverside County, California,. A copy of the Agreement is attached hereto as Exhibit A. Fidelity National Title C Property Owner did on January l 1, 2002 execute a deed of trust to Insurance , as Trustee, covering the Property, to secure a note in the sum of $2,380,000.00, dated January 11, 2002, in lhvor of Beneficiary, which deed of trust was recorded on ,January 14, 2002 , as Instrument Number 2002-022576 in the Official Records of Riverside County, California (hereinafter referred to as "Deed of Trust").
