AGREEMENT FOR CONSULTANT SERVICES <br /> Greater Riverside Chambers of Commerce <br /> <br />(Arlington Business Improvement District Feasibility) <br />Arlington Redevelopment Project <br /> <br />1 <br /> <br />2 <br /> <br />3 <br /> <br />4 <br /> <br /> 5 THIS AGREEMENT is made and entered into this 17th day of July ,2001, by <br /> <br />6 and between the REDEVELOPMENT AGENCY OF THE CITY OF RIVERSIDE, a public <br />7 entity, hereinafier referred to as "Agency," and the GREATER RIVERSIDE CHAMBERS OF <br />8 COMMERCE, 3985 University Ave., Riverside, CA, 92501, a California non-profit corporation, <br />9 hereinafier referred to as "Chamber," with respect to the following facts: <br />10 RECITALS: <br />11 WHEREAS, Agency desires the services of the Chamber, in the oversite of the <br />12 preparation of a Business Improvement District ("BID") feasibility and formation study; and <br />13 WHEREAS, Chamber has affirmed its willingness and ability to perform such work; <br />14 NOW, THEREFORE, Agency and Chamber agree as follows: <br /> <br />15 1. Retention of Chamber. Agency retains Chamber to perform, and Chamber agrees <br /> <br />16 to render, professional management services (hereinafier "the services"). The services to be <br />17 pr~videdaref~rtheadministrativemanagementand~versite~fthepreparati~n~fafeasibi~ity <br />18 study for the establishment of a Business Improvement District in the Arlington business area of <br />19 the City of Riverside, by a consultant designated by the Agency. <br /> <br />20 2. Standard of Performance. While performing the services, Chamber shall exercise <br /> <br />21 the reasonable professional care and skill customarily exercised by reputable members of the <br />22 Chamber's profession operating in the Metropolitan Southern California Area, and shall use <br />23 reasonable diligence and best judgment while exercising its skill and expertise. <br /> <br />24 3. Term. The term of this Agreement shall become effective on the date first written <br /> <br />25 above, and shall remain in effect until the process for determining feasibility of a BID is <br />26 completed, or no longer than one year from the effective date, whichever comes first, or unless <br />27 earlier terminated pursuant to the provisions stated herein. <br />28 <br /> <br />RVLIT\JBC\6!3136 <br /> <br />-1- <br /> <br /> <br />
