AGREEMENT FOR CONSULTANT SERVICES Greater Riverside Chambers of Commerce (Arlington Business Improvement District Feasibility) Arlington Redevelopment Project 1 2 3 4 5 THIS AGREEMENT is made and entered into this 17th day of July ,2001, by 6 and between the REDEVELOPMENT AGENCY OF THE CITY OF RIVERSIDE, a public 7 entity, hereinafier referred to as "Agency," and the GREATER RIVERSIDE CHAMBERS OF 8 COMMERCE, 3985 University Ave., Riverside, CA, 92501, a California non-profit corporation, 9 hereinafier referred to as "Chamber," with respect to the following facts: 10 RECITALS: 11 WHEREAS, Agency desires the services of the Chamber, in the oversite of the 12 preparation of a Business Improvement District ("BID") feasibility and formation study; and 13 WHEREAS, Chamber has affirmed its willingness and ability to perform such work; 14 NOW, THEREFORE, Agency and Chamber agree as follows: 15 1. Retention of Chamber. Agency retains Chamber to perform, and Chamber agrees 16 to render, professional management services (hereinafier "the services"). The services to be 17 pr~videdaref~rtheadministrativemanagementand~versite~fthepreparati~n~fafeasibi~ity 18 study for the establishment of a Business Improvement District in the Arlington business area of 19 the City of Riverside, by a consultant designated by the Agency. 20 2. Standard of Performance. While performing the services, Chamber shall exercise 21 the reasonable professional care and skill customarily exercised by reputable members of the 22 Chamber's profession operating in the Metropolitan Southern California Area, and shall use 23 reasonable diligence and best judgment while exercising its skill and expertise. 24 3. Term. The term of this Agreement shall become effective on the date first written 25 above, and shall remain in effect until the process for determining feasibility of a BID is 26 completed, or no longer than one year from the effective date, whichever comes first, or unless 27 earlier terminated pursuant to the provisions stated herein. 28 RVLIT\JBC\6!3136 -1-
