That the Board of Public Utilities: Approve the First Amendment to the First Addendum to the Software License Agreement No. 2006- 224 extending the Enterprise License Agreement until November 1, 2016 at no additional cost; and 2. Approve the legal name change from Telvent USA Corporation to Telvent USA, LLC, a Delaware limited liability company. In 2010, Riverside Public Utilities (RPU) contracted Frith 'Telvent USA Corporation, formerly Telvent Miner & Miner, to migrate its Geographic Information System (GIS) data to their Arc FM Solution software which is an extension to the Environmental System Research Institute 4E R.1) Arc IS base application. On November 18, 2011, the RPU Board approved the First Addendum to the Software License Agreement, establishing a three-year Enterprise Licensing Agreement (ELA) at a cost of $115,000 per year. The GI S data migration is scheduled to be completed by the end of 2014, and RPU staff successfully negotiated a no-cost two-year extension to the ELA, ending on November 1, 2016. This ELai allows for an unlimited number of users and provides access to additional products offered by Telvent USA Corporation, now known as Telvent USA, LLC. There is no financial impact to RPU with this First Amendment. The third and final scheduled $115,000 of the original ELA is included in the proposed Fiscal Year 2014/15 information Technology Department budget,
