11111;qipj�ii <br />Agree ent for the Geographic Information System Software. <br />That the Board of Public Utilities: <br />Approve the First Amendment to the First Addendum to the Software License Agreement No. 2006- <br />224 extending the Enterprise License Agreement until November 1, 2016 at no additional cost; and <br />2. Approve the legal name change from Telvent USA Corporation to Telvent USA, LLC, a Delaware <br />limited liability company. <br />In 2010, Riverside Public Utilities (RPU) contracted Frith 'Telvent USA Corporation, formerly Telvent Miner & <br />Miner, to migrate its Geographic Information System (GIS) data to their Arc FM Solution software which is an <br />extension to the Environmental System Research Institute 4E R.1) Arc IS base application. On November <br />18, 2011, the RPU Board approved the First Addendum to the Software License Agreement, establishing a <br />three-year Enterprise Licensing Agreement (ELA) at a cost of $115,000 per year. <br />The GI S data migration is scheduled to be completed by the end of 2014, and RPU staff successfully <br />negotiated a no-cost two-year extension to the ELA, ending on November 1, 2016. This ELai allows for an <br />unlimited number of users and provides access to additional products offered by Telvent USA Corporation, <br />now known as Telvent USA, LLC. <br />There is no financial impact to RPU with this First Amendment. The third and final scheduled $115,000 of the <br />original ELA is included in the proposed Fiscal Year 2014/15 information Technology Department budget, <br />
