<br />RIGHT OF ENTRY
<br />
<br /> The undersigned owner ("Owner") of the real property located at 1616 University Avenue,
<br />Riverside, California ("Property"), which is the subject of this Right of Entry, understands that the
<br />Redevelopment Agency of the City of Riverside ("Agency") intends to demolish all structures and
<br />improvements located on the Property (the "Demolition") consistent with and pursuant to Article I -
<br />Disposition of the Site, paragraph 5. of the Disposition and Development Agreement entered into
<br />between the Agency and Great Circle Family Foods, LLC dated June 6, 2.000.
<br />
<br /> For valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
<br />Owner irrevocably grants permission to the Redevelopment Agency of the City of Riverside, its officers,
<br />employees, agents, contractors, and/or subcontractors, to enter upon the Property to demolish and
<br />clear the property of all structures and improvements (except for the following public improvements:
<br />public streets, street lights, traffic signals, curbs, gutters, sidewalks, parkway landscaping, irrigation
<br />systems, storm drains, sewers, water main and lines, utiiities and other existing public facilities serving
<br />the Property), including the right for the temporary deposit of tools, equipment, machinery, vehicles,
<br />materials and supplies used in the performance of said Demolition work.

<br /> This Right of Entry is granted on the condition that upon completion of the Demolition, Agency,
<br />its contractors and/or subcontractors, shell remove all tools, equipment, machinery, vehicles, materials
<br />and supplies used in the performance of the Demolition and related activities, including all waste
<br />materials and debris resulting therefrom. Further, Agency will, insofar as it may legally do so,
<br />indemnify and hold Owner harmless from and against any and all claims, demands, suits, judgments,
<br />expenses and costs on account of injury to, or death of, any person, or loss of or damage to property,
<br />arising out of the performance of such Demolition work by Agency or on behalf of Agency pursuant
<br />to the permission hereinsbove given.

<br /> This Right of Entry shall be effective on the date of execution as hereinafter set forth and shall
<br />terminate upon completion of the described Demolition work by Agency.
