Ampco System will pay
for these costs and will be repaid from the parking revenue. By the 15th of the following
month we will provide a statement to the Agency detailing the revenue collected and
deducting the start up costs. All excess revenue will be delivered to the Agency along
with the monthly statement. In the event the revenues do not cover the start up costs,
the Agency will have 30 days from the end of the trial period to repay any outstanding
balance.

MAINTENANCE.
Although any actual repair of the machines will be performed by Pacific Parking
Systems, Inc., Ampco System will be responsible for making certain that the machines
are adequately supplied with change, transaction tape, receipt tape, and are always
maintained in working order. These machines will be checked twice daily and if
maintenance is needed Ampco System, will contact Pacific Parking Systems for service.

REVENUE COLLECTION.
During the three month trial period, Ampco System will collect the revenue from the
meters on an as needed basis. Initially, it will be collected daily until the required
frequency if established. This service will be provided at no cost to the Agency.

CUSTOMER SERVICE REPRESENTATIVES.
During the first week of operation, Ampco System will provide Customer Service
Representatives ("Ambassadors") to help people understand and properly use the
parking equipment. Although we initially proposed one Ambassador at each machine,
we believe that the close proximity of the two machine located on Main Street, will allow
one Ambassador can handle the two machines. This service can be extended
indefinitely, if so desired.

a subsidiary of IAB~ Industries Inc.
