<br />AGREEMENT FOR PROFESSIONAL CONSULTANT SERVICES <br />(UNIVERSITY VILLAGE FOURTH IMPLEMENTATION AGREEMENT) <br /> <br />THIS AGREEMENT is made and entered into this 2nd day of November, 1999, by <br />and between the Redevelopment Agency for the City of Riverside, a public entity, hereinafter <br />referred to as "Agency," and Mark Briggs & Associates, Inc., a California Corporation, located <br />at 505 North Tustin Avenue, Suite 115, Santa Ana, California 92705, hereinafter referred to as <br />"Consultant. " <br /> <br />WITNESSETH: <br /> <br />In July 1995, the Redevelopment Agency assisted with the Phase I University Village <br />development. The project included a ten-plex movie theater and theater-related uses including <br />retail/commercial users such as restaurants, office tenants and retail tenants. The proposed <br />Phase II development will include a 32,OOO-square-foot commercial/retail building along <br />University Avenue, a two-story 24-Hour Fitness facility and a 6-1/2 level parking structure in the <br />middle of the property, and pad development along Iowa Avenue. The developer has indicated <br />that financial assistance is required for the proposed parking structure. Agency staff and <br />financial consultants are currently working on a financing mechanism that will provide the <br />developer with the financial assistance warranted. <br /> <br />WHEREAS, Agency requires the assistance of a consultant that is experienced in <br />providing economic analysis and financial analysis to public clients and is familiar with the plans <br />of the Agency to identify and finalize the terms of Agency participation via an Implementation <br />Agreement for the parking structure of the Phase II University Village project; <br /> <br />WHEREAS, Consultant has the necessary experience in providing professional <br />consulting services and advice on various issues affecting the decisions of the Agency staff <br />regarding economic and financial analysis concerning the development of an Implementation <br />Agreement for the Phase II University Village parking structure; and <br /> <br />WHEREAS, Consultant has affirmed its willingness and ability to perform such work; <br /> <br />NOW, THEREFORE, Agency and Consultant agree as follows: <br /> <br />1. Retention of Consultant. Agency retains Consultant to perform, and <br />Consultant agrees to render, those services (hereinafter "the services") defined in Exhibit "A" <br />attached hereto and incorporated herein by this reference in accordance with the terms and <br />conditions set forth herein. <br /> <br />2. Standard of Performance. While performing the services, Consultant shall <br />exercise the reasonable professional care and skill customarily exercised by reputable members <br />of Consultant's profession practicing in the Metropolitan Southern California Area, and shall use <br />reasonable diligence and best judgment while exercising its professional skill and expertise. <br /> <br />3. Term.
