NONEXCLUSIVE LICENSE AGREEMENT <br />GAGE CANAL <br />East of Waterman Avenue and South of Redlands Boulevard <br />THIS NONEXCLUSIVE LICENSE AGREEMENT ( "License ") is made and <br />entered into this day of <br />, 2011, by and between the CITY OF <br />RIVERSIDE, a California charter city and municipal corporation ( "City "), and YUCAIPA <br />VALLEY WATER DISTRICT, hereinafter referred to as "Licensee." <br />RECITALS <br />A. City, through its Public Utilities Department, owns the Gage Canal <br />( "Canal "), which is operated on behalf of the City by the Gage Canal Company, pursuant <br />to an Agreement for Operation of Gage Canal Facilities and the amendments thereto <br />( "Operating Agreement "); and <br />B. Licensee has begun the construction of the Yucaipa Valley Regional <br />Brineline, ( "Project "), in order to produce recycled water that complies with regional <br />groundwater basin objectives; the District is required to provide advanced water treatment, <br />using reverse osmosis (RO) process prior to the use of this recycled water to the Yucaipa <br />Management Zone. <br />C. In connection with Licensee's Project, Licensee desires to traverse the <br />Canal with a closed conduit pressure pipe which will allow the hydraulics to transition <br />between open channel and full pipe flow conveying a non - reclaimable waste to the SARI <br />system ( "Brine Line ") <br />D. City and Gage Canal Company are agreeable to said use. <br />NOW, THEREFORE, the parties hereto mutually agree as follows: <br />Page 1 of 18 <br />45 -3 <br />
