AGREEMENT FOR PROFESSIONAL CONSULTANT SERVICES <br /> <br /> (Financial and Project Management Services) <br /> <br /> THIS AGREEMENT is made and entered into this 21st day of September ,1999, by <br />and between the Redevelopment Agency for the City of Riverside, a public entity, hereinafter <br />referred to as "Agency," Diane Hadland dba DHA Consulting, 3621 California Avenue, Long <br />Beach, CA 90807, hereinafter referred to as "Consultant," with respect to the following facts: <br /> <br />RECITALS: <br /> <br /> WHEREAS, Agency requires the services of a consultant that is experienced in Financial <br />and Project Management services; and <br /> <br /> WHEREAS, Consultant has the necessary experience in providing professional Financial <br />and Project Management services; and <br /> <br /> WHEREAS, selection of Consultant is expected to achieve the desired results in an <br />expedited fashion; and <br /> <br /> WHEREAS, Consultant has submitted a proposal to Agency and has affirmed its <br />willingness and ability to perform such work; <br /> <br />NOW, THEREFORE, Agency and Consultant agree as follows: <br /> <br /> 1. Retention of Consultant. Agency retains Consultant to perform, and Consultant <br />agrees to render, those services (hereinafter "the services") defined in Exhibit "A" attached <br />hereto and incorporated herein by this reference in accordance with the terms and conditions set <br />forth herein. <br /> <br /> 2. Standard of Performance. While performing the services, Consultant shall <br />exercise the reasonable professional care and skill customarily exercised by reputable members <br />of Consultant' s profession practicing in the Metropolitan Southern California Area, and shall use <br />reasonable diligence and best judgment while exercising its professional skill and expertise. <br /> <br /> 3. Term. The initial term of this Agreement shall be from October 1, 1999, to June <br />30, 2000, unless earlier terminated as provided herein. Term may be extended by mutual consent <br />of the parties for three (3) additional twelve (12) month periods. <br /> <br /> 4. Personnel. Consultant shall furnish all personnel necessary to perform the <br />services and shall be responsible for their performance and compensation. Consultant recognizes <br />that the qualifications and experience of the personnel to be used are vital to professional and <br />timely completion of the services. The key personnel listed in Exhibit "B" attached hereto and <br />incorporated herein by this reference and assigned to perform portions of the services shall <br />remain assigned through completion of the services, unless otherwise mutually agreed by the <br /> <br />j?fl 9-;/- qq <br /> <br /> <br />
