Bailin (1930-1988) * Of Counsel RECEIVED May 7, 1999 MAY 11 1999 BY CITY ATTORNEy Damien Brower, Deputy City Attorney Office of the City Attorney City of Riverside 3900 Main Street, 5th Floor Riverside, California 92522 RE: Gram's/Birdies Rehabilitation Agreement Retainer Letter Dear Mr. Brower: This letter will memorialize that you have authorized Covington & Crowe, LLP, to commence work on the above-referenced project for the Redevelopmerit Agency of the City of Riverside ("Agency"). We have agreed that Covington & Crowe, LLP, will produce a Rehabilitation Agreement and related Promissory Note ("Agreements"). It is understood that the scope of work for this task includes the research, drafting, and revision necessary to produce the Agreements in a form acceptable to the Agency to permit the commencement of negotiations with Mr. Bratton, Ms. Vormbrock, and Raincross. It is further understood that Covington & Crowe, LLP has offered to perform this portion of the scope of work for the flat fee of $2,500.00, plus costs, and that the Agency has accepted this offer and promised to pay said sum consistent with the Legal Services Agreement dated August 5, 1997, existing between our firm and the Agency ("LSA"). It is also our understanding that the scope of work may include, at the election of the Agency, participating in negotiations 'with these parties, revision of the Agreements in response to the corranents or demands of these, and other related work. It is further understood that Covington & Crowe, LLP has offered to perform this portion of the scope of work on an hourly fee basis plus costs with attorney fee rates not to exceed those provided for in the LSA. Finally, it is understood that the Agency has accepted this offer and promised to pay said sums consistent with the LSA. I believe this letter accurately reflects the terms we discussed for this project. If you believe this letter contains any inaccuracy, please contact me immediately so that we may clarify the matter.
