This Grant Deed is made in furtherance of that certain "Fox Plaza Project — <br /> Amended and Restated Disposition and Development Agreement" between Grantee and Grantor <br /> reference dated March 2, 2010, as amended and supplemented by that certain [Insert title of <br /> Implementing Agreement] between Grantee and Grantor dated l ,prii 1 , 2010L <br /> (collectively, "Agreement "). Unless otherwise provided in this Grant Deed, all initially <br /> capitalized terms used herein have the meaning given to such terms in the Agreement. The <br /> Agreement is a public record and available for inspection at Grantor's offices located at 3900 <br /> Main Street, 5th Floor, Riverside, CA 92501. The "Property" as conveyed by this Grant Deed is <br /> the same property as the "Phase 1B Property" referred to in the Agreement. <br /> Section 1.2 As -Is Conveyance The Grantee acknowledges and agrees that the <br /> Property is granted by Grantor to the Grantee in its "AS IS," "WHERE IS" and "SUBJECT TO <br /> ALL FAULTS CONDITION," as of the date of recordation of this Grant Deed, with no <br /> warranties, expressed or implied, as to the environmental or other physical condition of the <br /> Property, the presence or absence of any patent or latent environmental or other physical <br /> condition on or in the Property, or any other matters affecting the Property. <br /> 1 <br /> R714 -000 -- 470651.1 <br />
