MASTER PROFESSIONAL CONSULTANT SERVICES AGREEMENT <br /> ENVIRONMENTAL & REGULATORY SPECIALISTS, INC. <br /> FOR ENVIRONMENTAL SITE ASSESSMENT SERVICES <br /> FOR VARIOUS HOUSING AUTHORITY PROJECTS <br /> THIS MASTER PROFESSIONAL CONSULTANT SERVICES AGREEMENT <br /> ( "Agreement ") is made and entered into this 5th day of August _ , 2010 ( "Effective <br /> Date "), by and between the HOUSING AUTHORITY OF THE CITY OF RIVERSIDE <br /> ( "Authority "), a public body, corporate and politic and ENVIRONMENTAL & REGULATORY <br /> SPECIALISTS, INC., a California corporation ( "Consultant "). <br /> RECITALS <br /> A. Authority requires the services of a consultant that is experienced in providing <br /> environmental sites assessments - phase 1, phase II, asbestos, and lead -based paint surveys <br /> services. <br /> B. Authority issued a Request for Proposals for purposes of establishing a panel of <br /> consultants experienced in providing real property acquisition, environmental sites assessments - <br /> phase I and II, asbestos, and lead -based paint surveys, fixtures and equipment appraisal, goodwill <br /> valuation, property management, real property appraisal, and relocation services for various <br /> Authority projects. <br /> C. Consultant has the necessary experience in providing environmental site <br /> assessment services and advice. <br /> D. Consultant has submitted a proposal to the Authority and has affirmed its <br /> willingness and ability to provide such services. <br /> AGREEMENT <br /> 1. Scope of Services. <br /> 1.1 Authority hereby retains Consultant to perform, and Consultant agrees to <br /> render, professional services for various Authority projects ( "Assigned Project ") as those <br /> services are more particularly described in Exhibit "A ", "Scope of Services" ( "Services ") <br /> attached hereto and incorporated herein by reference. <br /> 1.2 During the term of this Agreement, as the need arises, Consultant shall <br /> have the opportunity to submit proposals for Assigned Projects. The scope of work, including <br /> the completion date for the Assigned Project, will be as set forth in writing and issued by the <br /> Authority ( "Project Narrative "). Any modification to the Services will also be set forth in the <br /> Project Narrative. All proposals submitted shall be reviewed by the Contract Administrator, as <br /> that term is defined below, and a single consultant will be selected to perform the services for <br /> -1- <br />
