FIRST AMENDMENT TO AGREEMENT FOR PROFESSIONAL CONSULTANT SERVICES KEYSER MARSTON ASSOCIATES, INC. THIS FIRST AMENDMENT TO THE AGREEMENT is made and entered into this 18th day of Hay , 1999, by and between the Redevelopment Agency for the City of Riverside, a public entity, hereinafter referred to as "Agency," and Keyser Marston Associates, Inc. a corporation, corporate office located at 55 Pacific Avenue Mall, San Francisco, CA 94111 and local office located at 1660 Hotel Circle North, Suite 716, San Diego, CA 92108, hereinafter referred to as "Consultant." WITNESSETH: WHEREAS, on August 25, 1998, Agency and Consultant entered into an agreement (the Agreement) whereby Consultant agreed to provide professional consulting services and advice regarding economic and financial analysis and Estimating Services to Agency for a not to exceed amount of $25,000; and WHEREAS, Consultant has been paid a total of $21,000 for services rendered; and WHEREAS, Consultant and Agency desire to increase the total compensation by an additional $45,000 to an amount not to exceed $70,000 so that Consultant can perform additional services needed by Agency; NOW, THEREFORE, Agency and Consultant agree as follows: 1. Compensation. Exhibit C to the Agreement is amended in its entirety and said amended Exhibit C is attached hereto and incorporated herein by reference. 2. Authority. The individuals executing this Agreement and the instruments referenced herein on behalf of Keyser Marston Associates Inc., each represent and warrant that they have the legal power, right and actual authority to bind Keyser Marston Associates Inc. to the terms and conditions hereof and thereof. 3. Terms and Conditions. All other terms and conditions of the Agreement between the parties hereto dated August 25, 1998, not amended hereby shall remain in full force and effect. 1
